Explanation of Responses:
1. Represents the number of shares of Class A Common Stock that have been withheld by the Issuer to satisfy its income tax withholding and remittance obligations in connection with the net settlement of the Restricted Stock Units ("RSUs") and does not represent a sale.
2. The sales reported were effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person.
3. The reported price in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $172.705 to $172.85 per share. The holder undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon written request, full information regarding the number of shares sold at each separate price within the range set forth in this footnote.
4. Each RSU represents a contingent right to receive 1 share of the Issuer's Class A Common Stock upon settlement.
5. The RSUs vest as to 1/12th of the total RSUs on November 15, 2019, and then 1/16th of the total RSUs vest quarterly thereafter, not to exceed 14 quarterly installments, with the final 2/48ths of the total RSUs vesting on August 15, 2023, subject to continued service through each vesting date.
6. The RSUs vest quarterly as to 1/16th of the total RSUs, beginning on May 15, 2020, subject to continued service through each vesting date.
7. The RSUs vest quarterly as to 1/16th of the total RSUs, beginning on May 15, 2021, subject to continued service through each vesting date.
8. The RSUs vest quarterly as to 1/16th of the total RSUs, beginning on May 15, 2022, subject to continued service through each vesting date.
