Dear colleagues,

 

A few minutes ago, we announced an agreement under which Brookfield Reinsurance will acquire Argo Group in a transaction that we believe will enhance our future growth prospects.

 

Brookfield Reinsurance is a leading financial services business providing capital-based solutions for the insurance industry. It has a strong track record of partnering with and investing in companies across the insurance sector, as illustrated by its successful acquisition of American National, a Texas-based insurer offering a broad range of products and services across life, annuity and P&C. Brookfield Reinsurance has invested over $4.7 billion of equity into its insurance businesses and has approximately $45 billion of assets from insurers across its platform.

 

Brookfield Reinsurance was established in 2021 and is supported in its objectives by its strategic relationships with Brookfield Corporation, and Brookfield Asset Management, a leading global alternative asset manager with over $800 billion of assets under management across renewable power and energy transition, infrastructure, private equity, real estate, and credit.

As you know, we have been taking significant steps to transform our company to create a stronger, more flexible Argo. As we enter this next chapter, we believe joining the Brookfield Reinsurance family will enable us to reach new heights.

 

It has become clear through our conversations with the Brookfield Reinsurance team that they value the talent in our organization, our relationships with our distribution partners, and all that we can provide to their growing P&C operations. Brookfield Reinsurance plans to operate Argo as the core of its U.S. commercial P&C insurance platform. Leveraging Brookfield Reinsurance’s competitive advantage in asset origination and existing operational footprint, we expect to scale Argo into a market-leading specialty insurer with capabilities across the admitted and E&S markets.

 

While we are excited about the agreement with Brookfield Reinsurance, it is important to recognize this is the first step. This transaction has been unanimously approved by the Argo Board and will require the approval of Argo’s shareholders and regulators. We expect to secure those approvals and close the transaction in the second half of 2023. Until then, we will remain separate companies, and we will conduct business as usual.
